These Partner Terms govern participation in the Liquid Partners Referral Partnership and Co-Counsel Partnership programs (each, a “Program”). Specific terms for each Program are set forth in the executed Partner Agreement between the Firm and the participating Partner.
1. Eligibility
Participation in either Program is by invitation or application and subject to the Firm’s approval. The Firm evaluates Partners against the same standards we apply to ourselves, including professional reputation, client base, and operating standards.
2. Referral Partnership
A Referral Partner introduces prospective clients to the Firm in exchange for a referral fee equal to a percentage of the earned engagement fee on closed engagements. Referral fees are calculated, accrued, and paid in accordance with the executed Partner Agreement and are paid only after the engagement fee has been earned by the Firm and the engagement has been closed.
3. Co-Counsel Partnership
A Co-Counsel Partner provides complementary professional services and co-delivers engagements with the Firm under a joint Engagement Letter or a back-to-back contract structure. Economics, scope of responsibility, and quality standards are set forth in the executed Partner Agreement.
4. Disclosure Obligations
Partners shall comply with all applicable disclosure rules, including but not limited to FTC endorsement and testimonial guidelines, the rules of professional conduct applicable to the Partner’s licensed profession (if any), and any contractual restrictions imposed by the Partner’s own clients or licensors. Misleading or deceptive marketing is grounds for immediate termination.
5. Use of Firm Name & Marks
Use of the Firm name, logo, and other marks is limited to what is expressly permitted in the executed Partner Agreement. Unauthorized use is grounds for termination and may give rise to other remedies.
6. Confidentiality
Partners shall keep confidential any non-public information disclosed by the Firm and shall maintain client confidentiality consistent with applicable professional responsibility standards.
7. Termination
Either party may terminate participation at any time with or without cause. Unpaid referral fees attributable to engagements that have not yet closed at the time of termination are subject to the terms of the Partner Agreement.
8. Other Terms
These Partner Terms incorporate the Engagement Terms, Privacy Policy, and Client Eligibility Policy. Disputes are resolved by binding arbitration as described in the Engagement Terms.
